The company aims to promote sustainable development throughout society through collaboration with suppliers in the areas of environment, social responsibility, and corporate governance. The company has established the "Supplier Code of Conduct" (hereinafter referred to as the "Code") to regulate the conduct of the company and its suppliers in conducting business. To enhance the implementation of this Code, the company will consistently provide various forms of support to all types of suppliers. This support aims to help suppliers better understand and comply with this Code, thereby improving their capabilities and performance in environmental, social responsibility, and corporate governance. The company looks forward to active cooperation from all suppliers in progressing together with the company.
1. Scope of Application
This Code sets the non-negotiable minimum standards that the company and its suppliers must adhere to in conducting business. All suppliers are required to comply with this Code. Failure to comply with this Code gives the company the right to decide not to establish, suspend, or terminate business transactions or contractual relationships with the supplier.
2. Legal Compliance
Suppliers must comply with all applicable laws, regulations, relevant business operating licenses, and mandatory standards in their place of operation.
3. Environment
The company encourages suppliers to implement appropriate environmental management measures, minimizing carbon emissions and negative impacts on air, water, soil, forests, and biodiversity during their operational processes. The company emphasizes the sustainability of raw material procurement. For palm oil material suppliers, deforestation resulting from palm oil cultivation should be avoided. The company opposes the misuse and excessive use of chemicals, advocating for the responsible use of agricultural chemicals.
4. Product Quality and Safety
All products and services provided by suppliers must meet the company's quality and safety standards.
5. Labor Rights
Suppliers must comply with all applicable laws and regulations regarding working hours, wages, benefits, minimum age, working conditions, occupational health and safety, and labor relations. Suppliers should implement fair, humane, and non-discriminatory employment practices, treating employees with dignity and respect. Suppliers are encouraged to provide a safe and healthy working environment for all employees and must not employ any form of forced labor, including forced, bonded, contracted, or child labor. If local laws and regulations do not restrict freedom of association and the right to collective bargaining, suppliers should respect their employees' rights to join or form unions and engage in collective bargaining, maintaining constructive dialogue to the maximum extent possible.
6. Information Protection and Intellectual Property Rights
6.1 Information Security
Suppliers must properly protect confidential, proprietary, and personal information they handle or process, preventing information leakage. Without the company's consent, suppliers may not use or disclose such information related to the company, nor may they hire or authorize any third-party service providers to handle such information.
6.2 Intellectual Property Rights
Suppliers should acknowledge and respect the company's intellectual property rights in its trademarks, works, designs, trade secrets, and patents. Suppliers must not engage in any activities that may infringe upon the company's intellectual property rights or damage the company's reputation.
7. Business Ethics and Integrity
7.1 Fairness and Integrity
In their business operations, suppliers must treat customers, employees, suppliers, and business partners with honesty, fairness, and ethical conduct. Suppliers must not adopt anti-competitive, fraudulent, discriminatory, dishonest, illegal, or unethical business practices.
7.2 Accurate Records
Suppliers must promptly and honestly provide the company with reasonably required accurate information to enable compliance with legal, regulatory, and reporting obligations to government agencies, financial institutions, securities exchanges, and other regulatory bodies. Deliberate creation of false, misleading, and fraudulent books, records, or documents is strictly prohibited.
7.3 Anti-Corruption
Any form of corruption and bribery is strictly prohibited. Specific requirements can be found in the company's "Anti-Corruption Policy."
8. Implementation
Suppliers should prioritize sustainable development and are encouraged to continuously improve their corporate social responsibility performance through the formulation of policies, execution, record-keeping processes, and the selection of appropriate key performance indicators. The company requires interactive and ongoing dialogue with suppliers on the compliance and progress of the covered items in this Code. Suppliers should make maximum efforts to communicate transparently with the company. If there are any questions and/or opinions regarding the Code, suppliers should contact the company.
9. Complaints and Whistleblowing
If employees or partners of the company discover (or have reasonable grounds to suspect) any improper or unlawful behavior within their scope of work, they should promptly report to the company or directly lodge a complaint with the General Manager of the company (email: sunke@cornigs.com). Whistleblowers will be protected; specific information can be found in the "Whistleblower Protection Policy."
10. Policy Review
The company regularly reviews and updates this policy based on legal regulations, its own business development, industry common practices, and established standards.
